Contracts and disputes between German and Indian parties

CA Utsav Dogra, Chartered Accountant, ICAI M. No. 542375 · Updated

In brief

Germany is not on India's reciprocating-territory list, so its court decrees cannot be executed in India as they stand; the winning party has to sue again in India on the foreign judgment. Arbitral awards from New York Convention countries are enforceable in India, so a DIS arbitration seated in Germany or a neutral seat is a common choice for cross-border contracts.

What is specific to German companies

German judgments need a fresh suit in India; DIS or other New York Convention awards made in Germany are enforceable. The Supply Chain Due Diligence Act reaches Indian operations of large German groups.

Anti-corruption and compliance programmes

The Supply Chain Due Diligence Act (LkSG) covers German companies with 1,000 or more German employees, including risk analysis of Indian operations and suppliers.

India's Prevention of Corruption Act includes corporate liability for persons acting on the company's behalf.
