Wholly Owned Subsidiary

Full operational control and access to India’s concessional 22% or 15% corporate tax rates — taxed as an Indian company despite being 100% foreign-owned. The preferred route for most long-term investors, with no home-country track record required.

Joint Venture

For sectors where FDI is capped below 100% — insurance (74%), multi-brand retail (51%) — or where an Indian partner’s distribution network, regulatory relationships or brand recognition add real strategic value beyond compliance.

Branch Office

Commercial activity and local revenue without incorporating a subsidiary, but taxed as a foreign company at 35%. Eligibility requires a 5-year profit-making record and a net worth of at least US$100,000.

Liaison Office

A representative presence for market research and relationship-building only — no commercial activity or income, funded entirely by remittances from the parent. Needs a 3-year profit record and net worth of at least US$50,000.

Project Office

A time-bound structure to execute a specific contract awarded by an Indian entity — typically infrastructure or EPC work — closing automatically once the project is complete.

LLP

Combines a company’s separate legal identity with a partnership’s lighter compliance burden, but can’t access the concessional 22%/15% company tax rates, and capital must be brought in as cash.
