Budgeting an Indian subsidiary from the USA

CA Utsav Dogra, Chartered Accountant, ICAI M. No. 542375 · Updated

In brief

Keep three numbers apart: the one-off set-up cost (US notary and legalisation, Indian government fees and stamp duty, professional fees), the monthly cost of running the company from day one, and the share capital, which stays in the Indian company. Professional fees are quoted in writing once the scope is agreed.

What is specific to US companies

On the US side, budget for notarisation and state apostilles, courier, and the US tax work the investment triggers, such as Form 5471 and possibly Form 926. These are often overlooked in the India budget but are real first-year costs.

Is share capital an expense?

No. It is the parent's investment and remains on the Indian company's balance sheet.

General information as at 5 November 2026, not advice for a particular case. Indian and US rules change often; confirm the current position before acting. US law points should be confirmed with a US adviser.
