Budgeting an Indian subsidiary from the United Kingdom

CA Utsav Dogra, Chartered Accountant, ICAI M. No. 542375 · Updated

In brief

Keep three numbers apart: the one-off set-up cost (UK notary and legalisation, Indian government fees and stamp duty, professional fees), the monthly cost of running the company from day one, and the share capital, which stays in the Indian company. Professional fees are quoted in writing once the scope is agreed.

What is specific to UK companies

UK-side costs are usually modest: notary fees, FCDO apostille charges and certified Companies House copies.

Is share capital an expense?

No. It is the parent's investment and remains on the Indian company's balance sheet.
