Incorporating an Indian subsidiary from the United Kingdom, step by step

CA Utsav Dogra, Chartered Accountant, ICAI M. No. 542375 · Updated

In brief

A UK parent incorporates its Indian company online through SPICe+, which also issues PAN and TAN. The UK work comes first: Companies House certificate of incorporation and company profile and board papers legalised for India. After the certificate, the company opens its bank account, receives capital, allots shares and reports to the RBI.

What is specific to UK companies

UK company documents come from Companies House: certificate of incorporation, articles and a current company profile. Use the exact registered name and company number on every Indian form. With India 4.5 to 5.5 hours ahead, filings and bank calls fit a UK morning.

UK parent entities

Typical parents are private limited companies and PLCs registered at Companies House. India is 4.5 hours ahead of the UK in summer and 5.5 hours in winter, which decides when signature and bank KYC calls can be held.

Questions

Is there a minimum share capital?

No statutory minimum. Capital should match the business plan so that early costs are not funded by intercompany loans by default.

General information as at 5 November 2026, not advice for a particular case. Indian and UK rules change often; confirm the current position before acting. UK law points should be confirmed with a UK adviser.
