Incorporating an Indian subsidiary from Japan, step by step

CA Utsav Dogra, Chartered Accountant, ICAI M. No. 542375 · Updated

In brief

A Japanese parent incorporates its Indian company online through SPICe+, which also issues PAN and TAN. The Japanese work comes first: Certificate of registered matters from the Legal Affairs Bureau and board papers legalised for India. After the certificate, the company opens its bank account, receives capital, allots shares and reports to the RBI.

What is specific to Japanese companies

Japanese parents are usually KK or GK companies; the core document is the certificate of registered matters. India is 3.5 hours behind Japan all year.

Japanese parent entities

Typical parents are kabushiki kaisha (KK) and godo kaisha (GK). India is 3.5 hours behind Japan all year, which decides when signature and bank KYC calls can be held.

Questions

Is there a minimum share capital?

No statutory minimum. Capital should match the business plan so that early costs are not funded by intercompany loans by default.

General information as at 5 November 2026, not advice for a particular case. Indian and Japanese rules change often; confirm the current position before acting. Japanese law points should be confirmed with a Japanese adviser.
