Company Registration in West Bengal
Company registration in West Bengal now routes through one of two Registrar of Companies offices depending on whether your registered office sits within Kolkata district or elsewhere in the state — a genuinely recent change worth understanding before you file — alongside some of the lowest incorporation stamp duty among major Indian states.
West Bengal's business geography
Kolkata anchors West Bengal's financial and IT-enabled services sector, but the state's industrial base runs well beyond the city itself: Howrah and Durgapur carry a long-established steel and heavy engineering base, Haldia anchors petrochemical activity, and food processing has a genuine footprint across the wider state. West Bengal's industrial sector grew 7.3% in 2024–25, reflecting this broader base rather than growth concentrated in Kolkata alone.
RoC jurisdiction for company registration in West Bengal: the 2026 split
Effective 16 February 2026, the Ministry of Corporate Affairs restructured West Bengal's Registrar of Companies jurisdiction into two offices: ROC Kolkata-I, covering the district of Kolkata itself along with the state of Sikkim, and ROC Kolkata-II, covering the rest of West Bengal outside Kolkata district — Howrah, Durgapur, Siliguri and beyond. In practice, this means a company registered inside Kolkata district and one registered elsewhere in the state now file with genuinely different registrar offices. See our complete 2026 RoC restructuring reference for the full nationwide picture.
Cost of company registration in West Bengal: stamp duty
West Bengal charges a flat ₹60 stamp duty on the Memorandum of Association — one of the lowest MOA rates among major Indian states — with total government fees starting from roughly ₹513 at ₹1 lakh authorised capital. Exact figures still scale with your authorised capital, so we confirm the current schedule before filing.
Choosing the right entity type for company registration in West Bengal
Most founders across West Bengal incorporate a private limited company, particularly IT services businesses based in and around Kolkata, and manufacturing businesses elsewhere in the state seeking institutional banking relationships. A Limited Liability Partnership (LLP) suits services or consulting firms that do not need external equity, and a One Person Company (OPC) suits solo founders before bringing in co-founders.
