Company Registration in Telangana
Company registration in Telangana means filing with a single statewide Registrar of Companies, working within Telangana's own stamp duty and professional tax rules, and — for eligible startups — a genuine stamp duty waiver worth checking before you budget for incorporation costs. This guide covers the state-level picture; for Hyderabad-specific detail, see our dedicated Hyderabad guide.
Telangana's business geography
Hyderabad dominates Telangana's economy — a major pharmaceutical and biotechnology hub anchored by the Genome Valley cluster, alongside a large IT and IT-enabled services sector centred on HITEC City — and most companies registering in the state base themselves there. Warangal and a handful of other regional centres carry a smaller but growing manufacturing and textiles presence, benefiting from the same statewide registration and compliance rules as Hyderabad.
RoC jurisdiction for company registration in Telangana
RoC Hyderabad covers company filings for the whole of Telangana as a single office. This has been the case since 30 October 2018, when the Ministry of Corporate Affairs formally designated a separate RoC Vijayawada for Andhra Pradesh following Telangana's 2014 formation as a separate state — a long-established split, not something touched by the Ministry's 2026 nationwide RoC restructuring.
Company registration fees in Telangana: MCA filing fee, stamp duty and its startup waiver
The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. Separately, Telangana charges a flat ₹500 stamp duty on the Memorandum of Association and 0.15% of authorised capital on the Articles of Association (minimum ₹1,000, capped at ₹5 lakh), applied statewide. What is worth knowing before you budget for that: Telangana's state startup policy offers a stamp duty waiver of 50–100% for DPIIT-recognised startups, which can meaningfully reduce this cost if your company qualifies. Professional tax also applies statewide, on a monthly slab structure, so standard registration and monthly returns apply alongside MCA compliance.
T-Hub and Telangana's startup ecosystem
Telangana pairs its stamp duty waiver with a genuinely active startup ecosystem — T-Hub, based in Hyderabad, is one of India's largest startup incubators, and works alongside the state's innovation policy to support early-stage technology and life-sciences companies. This sits alongside, not instead of, whatever central Startup India / DPIIT benefits your company separately qualifies for.
Choosing the right entity type for company registration in Telangana
Most founders across Telangana incorporate a private limited company, particularly life-sciences and technology businesses planning to raise institutional funding. A Limited Liability Partnership (LLP) suits services firms that will not raise external equity, and a One Person Company (OPC) suits solo founders before bringing in co-founders.
Company registration process in Telangana, step by step
Incorporation typically follows this sequence:
- Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
- Reserve your company name with the Ministry of Corporate Affairs.
- Draft your MOA and AOA.
- File the SPICe+ incorporation form with RoC Hyderabad.
- Complete post-incorporation steps — PAN, TAN, a bank account, GST registration and Telangana's professional tax registration (plus your startup waiver application, if eligible).

FAQs: company registration in Telangana
Which RoC office covers company registration in Telangana? A single office, RoC Hyderabad, handles company registration in Telangana statewide. RoC Hyderabad has covered Telangana only — separately from Andhra Pradesh’s RoC Vijayawada — since 30 October 2018, following Telangana’s 2014 formation as a separate state, and this was not affected by the Ministry of Corporate Affairs’ 2026 nationwide RoC restructuring.
Does Telangana offer a stamp duty waiver for startups? Yes — Telangana’s state startup policy offers a stamp duty waiver of 50–100% on company registration for DPIIT-recognised startups, which can meaningfully reduce incorporation cost if your company qualifies. It is worth checking eligibility before you budget for the full stamp duty schedule.
How much does private limited company registration cost in Telangana? The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. What you actually pay is Telangana’s stamp duty (roughly ₹1,520 combined at ₹1 lakh authorised capital, potentially reduced 50–100% under the DPIIT startup waiver), plus DSC and professional fees. Total cost scales with your authorised capital and waiver eligibility, so we quote a fixed figure once we know your structure.
Does professional tax apply throughout Telangana? Yes, professional tax applies statewide in Telangana, following a monthly slab structure based on salary earned each month — so a company anywhere in the state, not only in Hyderabad, needs standard professional tax registration and monthly returns.
What is T-Hub and is it relevant to incorporation? T-Hub is one of India’s largest startup incubators, based in Hyderabad and closely tied to Telangana’s state innovation policy. It is a separate ecosystem resource from incorporation itself — worth exploring once you are registered, particularly for early-stage technology companies.
Is there a minimum capital requirement for company registration in Telangana? No. India abolished the minimum paid-up capital requirement for private limited companies years ago, so company registration in Telangana can start with any authorised capital amount your business plan calls for.
