Company Registration in Karnataka

Company registration in Karnataka means filing with a single statewide Registrar of Companies, working within Karnataka's own stamp duty and professional tax rules, and — for many founders — tapping into the state's dedicated startup policy alongside central Startup India benefits. This guide covers the state-level picture; for Bengaluru-specific detail, see our dedicated Bengaluru guide.

Karnataka's business geography

Bengaluru dominates Karnataka's economy as India's largest startup and technology hub, but the state's industrial base extends well beyond it: Mysuru has a growing IT and precision-engineering presence, Mangaluru anchors the state's port, petrochemical and banking activity on the coast, and Hubballi–Dharwad and Belagavi carry a meaningful manufacturing and textiles base in the north of the state. Wherever in Karnataka you plan to operate, registration and state-level compliance work the same way.

RoC jurisdiction for company registration in Karnataka

RoC Bengaluru covers company filings for the whole of Karnataka as a single office — it was not split in the Ministry of Corporate Affairs' nationwide RoC restructuring effective 16 February 2026, unlike Delhi, Maharashtra and West Bengal. In practice, this means your registered office address anywhere in the state routes to the same RoC office.

Company registration fees in Karnataka: MCA filing fee and stamp duty

The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. Separately, Karnataka's incorporation stamp duty runs on the higher end among major Indian states — roughly ₹6,020 combined MOA and AOA duty at ₹1 lakh authorised capital — and applies uniformly across the state under the Karnataka Stamp Act. Karnataka also levies professional tax statewide, with returns due by the 20th of each following month once PTRC deductions begin. Exact stamp duty scales with your authorised capital, so we confirm the current figure before filing.

Startup Karnataka and state-level support

Beyond registration itself, Karnataka runs one of India's more established state startup frameworks — Startup Karnataka — offering seed funding, incubation support and coordination with the Karnataka Digital Economy Mission, in addition to whatever central Startup India / DPIIT benefits your company separately qualifies for. It is worth checking your eligibility as part of your incorporation planning, not as an afterthought once you are already operating.

Choosing the right entity type for company registration in Karnataka

Most founders across Karnataka incorporate a private limited company, particularly startups planning to raise institutional funding, since it is the structure investors expect and supports ESOP pools cleanly. A Limited Liability Partnership (LLP) suits services or consulting firms that will not raise external equity, and a One Person Company (OPC) suits solo founders before bringing in co-founders or investors.

Company registration process in Karnataka, step by step

Incorporation typically follows this sequence:

  1. Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
  2. Reserve your company name with the Ministry of Corporate Affairs.
  3. Draft your MOA and AOA.
  4. File the SPICe+ incorporation form with RoC Bengaluru.
  5. Complete post-incorporation steps — PAN, TAN, a bank account, GST registration and Karnataka's professional tax registrations.

FAQs: company registration in Karnataka

Which RoC office covers company registration in Karnataka? A single office, RoC Bengaluru, handles company registration in Karnataka statewide — whether your registered office is in Bengaluru, Mysuru, Mangaluru, Hubballi or anywhere else in the state. Karnataka was not split in the Ministry of Corporate Affairs’ 2026 nationwide RoC restructuring the way Maharashtra, Delhi and West Bengal were.

Is stamp duty the same everywhere in Karnataka? Yes — stamp duty for company registration in Karnataka is set at the state level under the Karnataka Stamp Act, so it applies the same combined MOA/AOA schedule regardless of which city in the state your registered office is in.

What is the Startup Karnataka policy? Startup Karnataka is the state government’s dedicated policy framework supporting startups through seed funding, incubation support, and streamlined regulatory processes, run alongside the Karnataka Digital Economy Mission. DPIIT-recognised startups registering in Karnataka can typically access both central Startup India benefits and state-level support in parallel.

How much does private limited company registration cost in Karnataka? The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. What you actually pay is Karnataka’s stamp duty (roughly ₹6,020 combined at ₹1 lakh authorised capital, among the higher rates in India), plus DSC and professional fees. Total cost scales with your authorised capital, so we quote a fixed figure once we know your structure.

Do businesses outside Bengaluru get the same support as Bengaluru-based ones? Yes, in terms of registration itself — RoC Bengaluru, state stamp duty and professional tax rules apply uniformly across Karnataka. Where it differs is ecosystem depth: Bengaluru concentrates the large majority of the state’s venture capital, incubators and specialised legal/accounting talent, which is why most companies still choose to base there even though registering elsewhere in the state is equally straightforward.

Is there a minimum capital requirement for company registration in Karnataka? No. India abolished the minimum paid-up capital requirement for private limited companies years ago, so company registration in Karnataka can start with any authorised capital amount your business plan calls for.
