Company Registration in Uttar Pradesh

Company registration in Uttar Pradesh now routes through one of two Registrar of Companies offices depending on exactly where in the state your registered office sits — a genuinely recent change worth understanding before you file — alongside the state's own stamp duty and industrial incentive schemes.

Uttar Pradesh's business geography

As India's most populous state, Uttar Pradesh spans genuinely distinct economic zones: Noida and Greater Noida in the west anchor a major IT, electronics and corporate services cluster within the National Capital Region, while Lucknow, Kanpur and the eastern half of the state carry a broader industrial, manufacturing and agro-processing base. Wherever in the state you plan to operate, incorporation and state-level compliance follow the same core rules — only the specific RoC office differs.

RoC jurisdiction for company registration in Uttar Pradesh: the 2026 split

Effective 16 February 2026, the Ministry of Corporate Affairs restructured Uttar Pradesh's Registrar of Companies jurisdiction into two offices: ROC Uttar Pradesh-I, based in Kanpur, covering eastern and central UP — Lucknow, Kanpur, Gorakhpur, Varanasi, Prayagraj and around 50 districts in total — and ROC Uttar Pradesh-II, based in Noida, covering western UP, including Agra, Aligarh, Ghaziabad, Meerut, Mathura, Saharanpur and Gautam Buddha Nagar (Noida). In practice, this means a Noida company and a Lucknow company now file with genuinely different registrar offices, even though both sit within the same state — see our complete 2026 RoC restructuring reference for the full nationwide picture.

Cost of company registration in Uttar Pradesh: stamp duty and the PLEDGE scheme

The MCA's own SPICe+ government filing fee is nil for authorised capital up to ₹15 lakh, with UP's own stamp duty adding a modest amount on top for a typical capital structure. Separately, Uttar Pradesh's PLEDGE scheme offers stamp duty exemptions aimed specifically at industrial, tourism and renewable energy investment — including a 100% exemption for women entrepreneurs purchasing industrial land in private parks, a 75% rebate in central UP, a 50% rebate in Gautam Buddha Nagar, and a 100% rebate in Eastern UP and Bundelkhand. These apply to industrial land purchase specifically, so they matter most if you are also acquiring land for manufacturing rather than a standard office-based incorporation.

Choosing the right entity type for company registration in Uttar Pradesh

Most founders across Uttar Pradesh incorporate a private limited company, particularly technology and corporate services businesses based in Noida planning to raise funding, and manufacturing businesses elsewhere in the state seeking institutional banking relationships. A Limited Liability Partnership (LLP) suits services or consulting firms that do not need external equity, and a One Person Company (OPC) suits solo founders before bringing in co-founders.

Company registration process in Uttar Pradesh, step by step

Incorporation typically follows this sequence:

  1. Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
  2. Reserve your company name with the Ministry of Corporate Affairs.
  3. Draft your MOA and AOA.
  4. File the SPICe+ incorporation form with the correct Uttar Pradesh RoC for your address — UP-I (Kanpur) or UP-II (Noida).
  5. Complete post-incorporation steps — PAN, TAN, a bank account and GST registration.

FAQs: company registration in Uttar Pradesh

Which RoC office covers company registration in Uttar Pradesh? It depends on where in the state your registered office is. Following the Ministry of Corporate Affairs’ nationwide RoC restructuring effective 16 February 2026, Uttar Pradesh was split into two offices: ROC Uttar Pradesh-I, based in Kanpur, covering eastern and central UP — including Lucknow, Kanpur, Gorakhpur, Varanasi and Prayagraj, around 50 districts in total — and ROC Uttar Pradesh-II, based in Noida, covering western UP, including Agra, Aligarh, Ghaziabad, Meerut, Mathura, Saharanpur and Gautam Buddha Nagar (Noida).

Does a Noida or Greater Noida company file with the same RoC as Lucknow or Kanpur? No — this is exactly the distinction the 2026 restructuring introduced. A Noida or Greater Noida company now files with ROC Uttar Pradesh-II in Noida, while a Lucknow or Kanpur company files with the separate ROC Uttar Pradesh-I in Kanpur, even though both are within the same state.

What is the PLEDGE scheme and does it reduce incorporation costs? PLEDGE is Uttar Pradesh’s stamp duty exemption scheme aimed at industrial, tourism and renewable energy investment — it offers benefits including a 100% stamp duty exemption for women entrepreneurs purchasing industrial land in private parks, a 75% rebate in central UP, a 50% rebate in Gautam Buddha Nagar, and a 100% rebate in Eastern UP and Bundelkhand. These exemptions apply to industrial land purchase rather than the incorporation stamp duty itself, so they are most relevant if you are also acquiring land for manufacturing or industrial use.

How much does company registration cost in Uttar Pradesh? The MCA’s own SPICe+ filing fee is nil for authorised capital up to ₹15 lakh, and UP’s own stamp duty typically adds a modest amount on top for a standard capital structure. We confirm the current combined figure for your specific authorised capital before filing, rather than quoting a number that may not reflect the latest schedule.

Is there a minimum capital requirement for company registration in Uttar Pradesh? No. India abolished the minimum paid-up capital requirement for private limited companies years ago, so company registration in Uttar Pradesh can start with any authorised capital amount your business plan calls for.
