Company Registration in Tamil Nadu

Company registration in Tamil Nadu means filing with a single statewide Registrar of Companies and working within some of the more cost-efficient stamp duty rules among India's major industrial states — with one genuinely distinctive local quirk on how professional tax is collected. This guide covers the state-level picture; for Chennai-specific detail, see our dedicated Chennai guide.

Tamil Nadu's business geography

Chennai anchors Tamil Nadu's automotive and auto-component manufacturing base — often called the "Detroit of India" — and its IT services sector, but the state's industrial footprint runs well beyond it. Coimbatore carries a large textiles, engineering and pump-manufacturing cluster, Tiruppur is one of India's largest knitwear and garment-export hubs, and Madurai anchors a meaningful agro-processing and industrial base further south. Tamil Nadu's port infrastructure — Chennai and Ennore in particular — gives the whole state strong export logistics, not just companies based in the capital.

RoC jurisdiction for company registration in Tamil Nadu

RoC Chennai covers company filings for the whole of Tamil Nadu as a single office — it was not split in the Ministry of Corporate Affairs' nationwide RoC restructuring effective 16 February 2026, unlike Delhi, Maharashtra and West Bengal. Your registered office address anywhere in the state routes to the same office.

Company registration fees in Tamil Nadu: MCA filing fee and stamp duty

The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. Separately, Tamil Nadu keeps incorporation stamp duty relatively low: a flat ₹200 on the Memorandum of Association, and 0.05% of authorised capital on the Articles of Association (capped at ₹5 lakh) — noticeably below Karnataka or Maharashtra at the same capital level. Professional tax does apply statewide, but with a distinctive local twist: it is collected by the local municipal corporation rather than directly by the state, and on a half-yearly cycle (August and January) rather than monthly — worth building into your compliance calendar correctly from the start.

Choosing the right entity type for company registration in Tamil Nadu

Most founders across Tamil Nadu incorporate a private limited company, especially manufacturing and export businesses that need to contract with larger counterparties and access institutional trade finance. A Limited Liability Partnership (LLP) suits services firms that will not raise external equity, and a One Person Company (OPC) suits solo founders before bringing in co-founders.

Company registration process in Tamil Nadu, step by step

Incorporation typically follows this sequence:

  1. Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
  2. Reserve your company name with the Ministry of Corporate Affairs.
  3. Draft your MOA and AOA.
  4. File the SPICe+ incorporation form with RoC Chennai.
  5. Complete post-incorporation steps — PAN, TAN, a bank account, GST registration and local professional tax registration.

FAQs: company registration in Tamil Nadu

Which RoC office covers company registration in Tamil Nadu? A single office, RoC Chennai, handles company registration in Tamil Nadu statewide — whether your registered office is in Chennai, Coimbatore, Madurai or elsewhere in the state. Tamil Nadu was not split in the Ministry of Corporate Affairs’ 2026 nationwide RoC restructuring the way Maharashtra, Delhi and West Bengal were.

Is Tamil Nadu stamp duty low compared to other states? Yes — Tamil Nadu keeps incorporation stamp duty relatively low: a flat ₹200 on the Memorandum of Association and 0.05% of authorised capital on the Articles of Association (capped at ₹5 lakh), well below Karnataka or Maharashtra at the same capital level.

Who collects professional tax in Tamil Nadu? Unusually among states that levy it, professional tax in Tamil Nadu is collected by the local municipal corporation or municipality, not directly by the state government, and on a half-yearly cycle — August for April–September, and January for October–March — rather than monthly.

How much does private limited company registration cost in Tamil Nadu? The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. What you actually pay is Tamil Nadu’s stamp duty (roughly ₹720 combined at ₹1 lakh authorised capital, among the lowest of India’s major hubs), plus DSC and professional fees. Total cost scales with your authorised capital, so we quote a fixed figure once we know your structure.

What industries is Tamil Nadu known for beyond Chennai’s automotive sector? Coimbatore anchors a large textiles, engineering and pump-manufacturing cluster, Tiruppur is one of India’s largest knitwear and garment-export hubs, and Madurai and the wider south of the state carry a meaningful agro-processing and industrial base. Chennai and Ennore’s ports give the state strong export infrastructure beyond any single city.

Is there a minimum capital requirement for company registration in Tamil Nadu? No. India abolished the minimum paid-up capital requirement for private limited companies years ago, so company registration in Tamil Nadu can start with any authorised capital amount your business plan calls for.
