Company Registration in Maharashtra

Company registration in Maharashtra now routes through one of four Registrar of Companies offices depending on exactly where your registered office sits, alongside statewide stamp duty and professional tax rules. This guide covers the state-level picture; for city-specific detail, see our dedicated Mumbai and Pune guides.

Maharashtra's business geography

Maharashtra is India's largest state economy, anchored by Mumbai's finance and capital-markets activity, Pune's IT services and auto-component manufacturing, and a genuinely broader industrial base beyond both: Nashik's manufacturing and wine-growing belt, Nagpur's growing logistics and aviation cluster around the Mihan special economic zone, and Aurangabad's auto-ancillary and pharmaceutical manufacturing. Wherever in the state you plan to operate, incorporation and state-level compliance work the same way.

RoC jurisdiction for company registration in Maharashtra: four offices

Maharashtra had long run two Registrar of Companies offices — RoC Mumbai and RoC Pune — until the Ministry of Corporate Affairs' nationwide restructuring, effective 16 February 2026, split Mumbai's jurisdiction further. Today, Maharashtra is covered by four offices: ROC Mumbai-I (Mumbai city), ROC Mumbai-II (headquartered at Navi Mumbai, covering the wider Mumbai Metropolitan Region), ROC Nagpur (the Nagpur region), and RoC Pune (Pune and the rest of the state outside those three). Your registered office address determines which of the four your filing actually goes to.

Company registration fees in Maharashtra: MCA filing fee and stamp duty

The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. Separately, Maharashtra charges stamp duty on both the Memorandum of Association (a flat ₹1,000) and the Articles of Association (0.3% of authorised share capital, capped at ₹1 crore, under the amendment effective 14 October 2024) — the same schedule statewide. Professional tax also applies throughout the state, so a Maharashtra company registers for a Professional Tax Enrolment Certificate (PTEC) and handles monthly Professional Tax Registration Certificate (PTRC) deductions for employees, regardless of which city it is based in.

Industrial policy and MIDC land

For manufacturing and larger operational setups, Maharashtra's state industrial policy and the Maharashtra Industrial Development Corporation (MIDC) are worth understanding early — MIDC develops and allots plotted industrial land across the state's many industrial parks, and eligible sectors can access incentives under the state's industrial policy framework. This runs alongside, not instead of, your company registration itself.

Choosing the right entity type for company registration in Maharashtra

Most founders across Maharashtra incorporate a private limited company, particularly businesses planning to raise funding, hire a team, or contract with larger counterparties. A Limited Liability Partnership (LLP) suits services or consulting firms that do not need external equity, and a One Person Company (OPC) suits solo founders before bringing in co-founders.

Company registration process in Maharashtra, step by step

Incorporation typically follows this sequence:

  1. Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
  2. Reserve your company name with the Ministry of Corporate Affairs.
  3. Draft your MOA and AOA.
  4. File the SPICe+ incorporation form with the correct Maharashtra RoC for your address.
  5. Complete post-incorporation steps — PAN, TAN, a bank account, GST registration and Maharashtra's professional tax registrations.

FAQs: company registration in Maharashtra

How many RoC offices now cover Maharashtra? Four. Following the Ministry of Corporate Affairs’ nationwide RoC restructuring effective 16 February 2026, Maharashtra is covered by ROC Mumbai-I (Mumbai city), ROC Mumbai-II (headquartered at Navi Mumbai, covering the wider Mumbai Metropolitan Region), ROC Nagpur (the Nagpur region), and the pre-existing RoC Pune (covering Pune and the rest of the state outside these three).

Is stamp duty the same across Maharashtra? Yes — stamp duty for company registration in Maharashtra is set at the state level under the Maharashtra Stamp Act, so the same schedule (a flat ₹1,000 MOA duty, 0.3% of authorised capital on the AOA, capped at ₹1 crore) applies regardless of which city in the state your registered office is in.

Does professional tax apply throughout Maharashtra? Yes, professional tax applies statewide in Maharashtra, so a company anywhere in the state — Mumbai, Pune, Nagpur, Nashik or elsewhere — needs a Professional Tax Enrolment Certificate (PTEC) for the company and monthly Professional Tax Registration Certificate (PTRC) deductions for employees.

How much does private limited company registration cost in Maharashtra? The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. What you actually pay is Maharashtra’s stamp duty (roughly ₹1,300 combined at ₹1 lakh authorised capital), plus DSC and professional fees. Total cost scales with your authorised capital, so we quote a fixed figure once we know your structure.

What is MIDC and does it matter for company registration in Maharashtra? The Maharashtra Industrial Development Corporation (MIDC) develops and manages industrial parks across the state, offering plotted land, infrastructure and, for eligible sectors, incentives under Maharashtra’s industrial policy. It is a common route for manufacturing and larger operational setups, though it is a separate process from incorporation itself.

Is there a minimum capital requirement for company registration in Maharashtra? No. India abolished the minimum paid-up capital requirement for private limited companies years ago, so company registration in Maharashtra can start with any authorised capital amount your business plan calls for.
