Company Registration in Hyderabad

Company registration in Hyderabad means filing with an RoC Hyderabad that covers Telangana only — a jurisdiction split from Andhra Pradesh dating back to the 2014 state bifurcation — and it comes with a genuine startup stamp duty waiver worth checking before you budget for incorporation costs. This guide covers both, plus the standard incorporation steps.

Hyderabad's business character

Hyderabad has built a strong dual identity: a major pharmaceutical and biotechnology hub — anchored by the Genome Valley life-sciences cluster — alongside a large IT and IT-enabled services sector centred on HITEC City, home to campuses for most major global technology companies. It suits both life-sciences and software companies looking for an established talent base and lower operating costs than Bangalore or Mumbai.

RoC jurisdiction for company registration in Hyderabad: Telangana only

Before 2014, RoC Hyderabad covered both Telangana and Andhra Pradesh as a single combined jurisdiction. Following Telangana's formation as a separate state on 2 June 2014, the Ministry of Corporate Affairs formally designated a separate RoC Vijayawada for Andhra Pradesh on 30 October 2018, leaving RoC Hyderabad covering Telangana only from that point on. If you are registering in Hyderabad itself this does not change anything for you today, but it matters if you are comparing notes with an Andhra Pradesh-based business, since you are dealing with genuinely different, long-established registrar offices rather than a recent change. To confirm RoC Hyderabad's current office address and contact details, the MCA21 portal's registrar-of-companies contact page is the authoritative source, since office details are occasionally updated.

Company registration fees in Hyderabad: MCA filing fee, stamp duty and its startup waiver

Two separate costs make up company registration fees in Hyderabad, and it is worth not conflating them. The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. Separately, Telangana's stamp duty still applies: a flat ₹500 on the Memorandum of Association and 0.15% of authorised capital on the Articles of Association (minimum ₹1,000, capped at ₹5 lakh), plus a nominal ₹20 stamp on the incorporation eForm — roughly ₹1,520 combined at ₹1 lakh authorised capital. What is worth knowing before you budget for that: Telangana's state startup policy offers a stamp duty waiver of 50–100% for DPIIT-recognised startups, which can meaningfully reduce this cost if your company qualifies. Telangana also levies professional tax, so standard registration and periodic returns apply alongside MCA compliance.

Choosing the right entity type for company registration in Hyderabad

Most founders in Hyderabad incorporate a private limited company, particularly life-sciences and technology businesses planning to raise institutional funding. A Limited Liability Partnership (LLP)suits services firms that will not raise external equity — see our LLP registration guide for the process and FDI rules — and a One Person Company (OPC) suits solo Indian-resident founders before bringing in co-founders; note an OPC is not available to foreign nationals or NRIs.

Company registration process in Hyderabad, step by step

Incorporation typically follows this sequence:

  1. Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
  2. Reserve your company name with the Ministry of Corporate Affairs.
  3. Draft your MOA and AOA.
  4. File the SPICe+ incorporation form with RoC Hyderabad.
  5. Complete post-incorporation steps — PAN, TAN, a bank account, GST registration and Telangana's professional tax registration (plus your startup waiver application, if eligible).

See our step-by-step incorporation guide for the full walkthrough.

Post-incorporation compliance in Hyderabad

Telangana's professional tax follows a monthly slab structure, so once your PTRC deductions begin, returns are filed monthly rather than on the half-yearly cycle used in neighbouring Tamil Nadu. A Hyderabad company also needs to register under the Telangana Shops and Establishments Act within 30 days of commencing business at its registered office — a separate step from any startup stamp duty waiver you have claimed. From there, the standard annual RoC filings (AOC-4, MGT-7 or MGT-7A), income tax return and GST returns if registered apply as they do for any Indian company.

FAQs: company registration in Hyderabad

Does RoC Hyderabad still cover Andhra Pradesh too? No — company registration in Hyderabad and company registration in Andhra Pradesh go through two different offices, and have since 2018. Following Telangana’s 2014 formation as a separate state, the Ministry of Corporate Affairs designated a separate RoC Vijayawada for Andhra Pradesh on 30 October 2018, while RoC Hyderabad covers Telangana only.

Can a Hyderabad startup get a stamp duty waiver? Yes, potentially. Telangana offers a stamp duty waiver of 50–100% on company registration in Hyderabad for DPIIT-recognised startups under its state startup policy — worth checking your eligibility for before you budget for the full stamp duty.

Does Telangana levy professional tax on companies? Yes, professional tax applies to company registration in Hyderabad. Telangana is one of the states that levies it, so a Hyderabad company needs standard professional tax registration alongside its MCA compliance.

How much does private limited company registration cost in Hyderabad? For most startups, the MCA/government incorporation filing fee itself is nil — SPICe+ carries no government fee for authorised capital up to ₹15 lakh under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014. What you do pay is Telangana's stamp duty (roughly ₹1,520 combined at ₹1 lakh authorised capital, potentially reduced 50–100% under the DPIIT startup waiver), plus DSC and professional fees. Total cost scales with your authorised capital and whether you use the startup waiver, so we quote a fixed figure once we know your structure.

Can I register a One Person Company (OPC) in Hyderabad? Yes. An OPC follows the same SPICe+ filing with RoC Hyderabad as a private limited company, suits a solo founder who wants limited liability without bringing in co-founders yet, and carries the same nil government filing fee up to ₹15 lakh authorised capital and eligibility for the state startup stamp duty waiver if DPIIT-recognised. The main difference from a private limited company is that an OPC has a single shareholder with a mandatory nominee, and converts to a private limited company once it crosses prescribed turnover or capital thresholds.

Is there a minimum capital requirement for company registration in Hyderabad? No. India abolished the minimum paid-up capital requirement for private limited companies years ago, so company registration in Hyderabad can start with any authorised capital amount your business plan calls for.

How long does company registration in Hyderabad take? Typically around 10–15 working days once your documents are ready, covering DSC and DIN issuance, name approval and SPICe+ processing with RoC Hyderabad — though name-approval or document queries can extend this.
