Company Registration in Pune
Company registration in Pune follows Maharashtra's state rules, but with one detail worth knowing upfront: Pune files through its own Registrar of Companies office, not Mumbai's. This guide covers what that means, the state costs to budget for, and the standard incorporation steps.
Pune's business character
Pune has built a genuine identity distinct from Mumbai's finance-led economy — strong in IT services and product engineering, automotive and auto-component manufacturing, and a deep, steady supply of engineering and technical graduates from the city's university ecosystem. Commercial real estate and operating costs also tend to run lower than Mumbai's, which is a real factor for founders weighing where to base a growing team.
RoC jurisdiction for company registration in Pune
Maharashtra has long had two separate Registrar of Companies offices — RoC Mumbai and RoC Pune — with RoC Pune handling company filings for Pune and the rest of the state outside the Mumbai region. This division held even through the Ministry of Corporate Affairs' broader nationwide RoC restructuring that took effect 16 February 2026, which split Mumbai's jurisdiction further (into ROC Mumbai-I, ROC Mumbai-II headquartered at Navi Mumbai, and ROC Nagpur) without changing RoC Pune's separate standing. In practice, this means a Pune-registered company deals with a genuinely different filing office than a Mumbai one, even within the same state.
Company registration fees in Pune: MCA filing fee and Maharashtra stamp duty
The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. Because stamp duty and professional tax are state-level, not city-level, a Pune company otherwise follows exactly the same Maharashtra schedule as one in Mumbai: a flat ₹1,000 stamp duty on the Memorandum of Association, 0.3% of authorised share capital on the Articles of Association (capped at ₹1 crore, per the amendment effective 14 October 2024), and mandatory professional tax registration — a Professional Tax Enrolment Certificate (PTEC) for the company and Professional Tax Registration Certificate (PTRC) handling for employees.
Choosing the right entity type for company registration in Pune
Most Pune founders incorporate a private limited company, particularly IT and engineering businesses planning to raise funding or scale a team. A Limited Liability Partnership (LLP) suits services firms that do not need external equity, and a One Person Company (OPC) suits solo founders wanting limited liability before bringing in co-founders.
Company registration process in Pune, step by step
Incorporation typically follows this sequence:
- Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
- Reserve your company name with the Ministry of Corporate Affairs.
- Draft your MOA and AOA.
- File the SPICe+ incorporation form with RoC Pune.
- Complete post-incorporation steps — PAN, TAN, a bank account, GST registration and Maharashtra's professional tax registrations.

Post-incorporation compliance in Pune
Because Maharashtra's rules are set at the state level, Pune's ongoing compliance mirrors Mumbai's exactly: registration under the Maharashtra Shops and Establishments Act within 30 days of commencing business, followed by monthly PTRC professional tax returns once deductions begin. The same standard annual RoC filings (AOC-4, MGT-7 or MGT-7A), income tax return and GST returns if registered that apply to any Indian company follow from there.
FAQs: company registration in Pune
Is Pune company registration filed with the same office as Mumbai? No — company registration in Pune is filed with RoC Pune, a separate office from RoC Mumbai. Maharashtra has had this separate RoC Pune office for years, and it continues to cover Pune and the rest of Maharashtra outside the Mumbai region even after the Ministry of Corporate Affairs’ nationwide RoC restructuring effective 16 February 2026.
Does Pune have the same stamp duty and professional tax as Mumbai? Yes. Stamp duty and professional tax for company registration in Pune match Mumbai exactly, because both are set at the state level, not the city level: flat ₹1,000 MOA stamp duty, 0.3% AOA stamp duty (capped at ₹1 crore) and mandatory professional tax registration.
What kind of businesses typically register in Pune rather than Mumbai? IT services, auto-component manufacturing and engineering-led companies most often choose company registration in Pune over Mumbai, for its lower commercial real estate and operating costs relative to Mumbai, combined with a strong local pipeline of engineering graduates.
How much does private limited company registration cost in Pune? The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. What you actually pay is Maharashtra's stamp duty, the same schedule as Mumbai (roughly ₹1,300 combined at ₹1 lakh authorised capital), plus DSC and professional fees. Total cost scales with your authorised capital, so we quote a fixed figure once we know your structure.
Is there a minimum capital requirement for company registration in Pune? No. India abolished the minimum paid-up capital requirement for private limited companies years ago, so company registration in Pune can start with any authorised capital amount your business plan calls for.
How long does company registration in Pune take? Typically around 10–15 working days once your documents are ready, covering DSC and DIN issuance, name approval and SPICe+ processing with RoC Pune — though name-approval or document queries can extend this.
