Company Registration in Gurugram

Company registration in Gurugram comes with one genuinely recent change worth knowing upfront: Gurugram, and the rest of Haryana, now files with an entirely new Registrar of Companies office, separate from either of Delhi's two RoC offices just across the NCR border. Here is what changed, Haryana's own compliance position, and the standard incorporation steps.

Gurugram's business character

Gurugram has built one of India's densest concentrations of corporate headquarters — home to the India offices or major campuses of a large share of Fortune 500 companies operating in the country, alongside a deep base of consulting, financial services, IT and corporate services firms. Its proximity to Delhi's international airport, combined with NCR's large talent pool, makes it a default choice for companies wanting a premium corporate address with strong national and international connectivity.

RoC jurisdiction for company registration in Gurugram: the new ROC Haryana

Before 16 February 2026, Gurugram and the rest of Haryana filed through the same combined Delhi–Haryana Registrar of Companies office as Delhi itself. Under the Ministry of Corporate Affairs' nationwide RoC restructuring effective that date, Haryana was carved out entirely into its own new office — ROC Haryana, based in Chandigarh — while Delhi itself was separately split into ROC Delhi-I and ROC Delhi-II. In practice, this means a Gurugram company and a Delhi company now file with genuinely different registrar offices, even though both sit within the same NCR metropolitan area — a distinction worth knowing if you are used to thinking of "NCR" as a single jurisdiction.

Company registration fees in Gurugram: MCA filing fee and Haryana stamp duty

The MCA government filing fee for the SPICe+ incorporation form itself is nil for authorised capital up to ₹15 lakh, under Schedule I of the Companies (Registration Offices and Fees) Rules, 2014 — which covers most startups outright. Separately, stamp duty on incorporation in Gurugram is charged under the Indian Stamp Act as applied in Haryana, and scales with your authorised capital in the same way it does in every state — we confirm the current figure against your specific capital structure before filing, rather than quoting a number that may be out of date. Haryana is not among the states that levy professional tax, the same position as Delhi — one less recurring compliance item compared with registering in Maharashtra, Karnataka, Tamil Nadu or Telangana.

Choosing the right entity type for company registration in Gurugram

Most founders in Gurugram incorporate a private limited company, particularly companies setting up an India headquarters, subsidiary or corporate services operation where external funding or larger B2B contracts are on the roadmap. A Limited Liability Partnership (LLP) suits consulting and professional services firms that will not raise external equity, and a One Person Company (OPC) suits solo founders wanting limited liability before bringing in co-founders.

Company registration process in Gurugram, step by step

Incorporation typically follows this sequence:

1. Obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN) for your directors.
2. Reserve your company name with the Ministry of Corporate Affairs.
3. Draft your MOA and AOA.
4. File the SPICe+ incorporation form with ROC Haryana.
5. Complete post-incorporation steps — PAN, TAN, a bank account and GST registration.

Post-incorporation compliance in Gurugram

With no professional tax to register for, Gurugram's ongoing state-level compliance is lighter than Maharashtra's, Karnataka's or Telangana's — but it is not zero. A Gurugram company still needs to register under the Haryana Shops and Commercial Establishments Act within 30 days of commencing business at its registered office. From there, the compliance calendar is the standard one that applies to any Indian company: annual RoC filings (AOC-4 for financial statements, MGT-7 or MGT-7A for the annual return), an income tax return, and GST returns if registered — worth building into your calendar from incorporation rather than treating as an afterthought.
