Effective 16 February 2026, the Ministry of Corporate Affairs restructured Delhi's Registrar of Companies jurisdiction, replacing the previous combined Delhi–Haryana office with two district-mapped offices: ROC Delhi-I, based in South Delhi, and ROC Delhi-II, based in Central Delhi. At the same time, Haryana — including Gurugram — was carved out entirely into a new ROC Haryana based in Chandigarh, and Noida's filings moved to ROC Uttar Pradesh-II. In practice, this means a Delhi company, a Gurugram company and a Noida company now file with three genuinely different registrar offices, even though all three sit within the same NCR metropolitan area — a distinction that trips up founders who assume "NCR" means one jurisdiction.
Cost of company registration in Delhi: stamp duty and professional tax
Delhi's stamp duty on incorporation runs lower than several other major hubs — around ₹360 in combined MOA and AOA duty at ₹1 lakh authorised capital, compared with roughly ₹1,400 in Maharashtra or ₹6,020 in Karnataka at the same capital level. Delhi is also not among the states that levy professional tax on companies or directors, which removes a recurring compliance item that applies in Maharashtra, Karnataka, Tamil Nadu and Telangana.
