What a US Parent Must Prepare Before Incorporating an Indian Subsidiary
Last updated: 14 October 2026
For a US company, the smoothest Indian subsidiary setup usually starts before the incorporation forms are filed. The parent company should agree on the business purpose, proposed ownership, directors, documents, funding plan and who will handle the first post-incorporation tasks. Gaps in these decisions can lead to rework in the filings or delays with banking and foreign-investment steps.
Quick answer
Before instructing the incorporation team, prepare a clear activity description, proposed shareholding chart, parent-company authorisation, director identity details, authenticated documents as applicable, registered-office evidence and a plan for capital funding and post-incorporation compliance.
1. Write down what the Indian company will do
Describe the proposed activities in plain language: for example, software development, engineering, customer support, consulting, sales, manufacturing or a combination. Identify where the customers will be, who will sign contracts, whether staff will be hired in India, and whether the company will transact with the US parent or other group entities.
This activity description helps advisers check the likely entity structure, foreign-investment eligibility, possible approvals, tax and GST questions, licensing and transfer-pricing considerations. Avoid using a broad object description that does not match the actual business plan.
2. Confirm the ownership and director plan
Agree who will directly own the shares and in what percentages. If the shareholder is a US corporation or LLC, identify the legal entity that will invest and prepare an ownership chart showing relevant parent entities and beneficial owners. Confirm who will serve as directors and collect their full legal names, addresses and identity details in the form required for Indian filings.
- Direct shareholder(s), country of residence and proposed ownership percentage.
- Parent-company legal name, formation jurisdiction and registered address.
- Ultimate ownership and control information for KYC and disclosure checks.
- Proposed directors and a plan to meet the resident-director requirement.
- Expected board and shareholder decision-making arrangements.
Check the resident-director requirement early. A director’s availability and eligibility should be confirmed rather than leaving the issue until the filing stage. See our resident director guide.
3. Prepare the US parent-company documents
Ask the incorporation team for a document list tailored to the exact shareholder and director structure. Depending on the case, the parent may need to provide formation or registration evidence, constitutional documents, registered-office details, a board resolution or other authorisation, and information about its authorised signatories.
Confirm whether each document needs notarisation, apostille, consular legalisation, certified translation or another authentication step. Requirements depend on the document, jurisdiction, signing method and current filing practice. Do not assume every document needs the same treatment, and do not begin authentication before the receiving requirements have been confirmed.
4. Gather director identity and address evidence
Collect each proposed director’s passport or other accepted identity document, address evidence, email and contact details, and any forms or declarations required for digital signatures and director identification. Names and addresses should match across the passport, proof of address, application and authenticated corporate documents. Ask in advance about acceptable document dates, file formats and certification.
5. Choose a company name and registered office plan
Prepare several name options and check whether the proposed name is distinctive and consistent with the company’s business. Similar names, restricted words, trademarks or activity descriptions may require further review. Name availability is not guaranteed until the relevant process is completed.
Plan the Indian registered office and identify what evidence and owner consent can be provided. A reliable address plan should account for proof of address, utility documentation, access to notices and the company’s ongoing needs. Avoid using an address before confirming the provider’s terms and the documents available for filing.
6. Agree the capital and funding process
Confirm the proposed share capital, who will remit the funds, the intended bank account route and the evidence the authorised dealer bank may request. The funding plan should align with the share subscription, issue of shares and applicable foreign-exchange rules. Keep the parent’s remittance evidence and the Indian company’s allotment records connected as one transaction file.
Plan the sequence with the bank and advisers instead of assuming that incorporation alone completes the investment process. See our guide to funding an Indian subsidiary from the US.
7. Decide who owns the first compliance tasks
Before the certificate is issued, agree who will arrange accounting, statutory records, the first board meeting, auditor appointment, commencement-of-business requirements, tax and GST registrations, payroll and any foreign-investment reporting. The exact checklist depends on the company’s facts and the rules applicable at that time.
For a US parent, also decide how the Indian company will report monthly results, record intercompany expenses, approve payments and share documents with the group. This helps avoid gaps between incorporation, bank onboarding and operational launch.
8. Checklist to send your incorporation adviser
- Business activity description and expected launch plan.
- Proposed shareholder list, share percentages and ownership chart.
- Proposed directors and resident-director arrangement.
- Parent-company registration details and investment authorisation.
- Director identity and address documents.
- Authentication requirements confirmed for each document.
- Name options and registered-office evidence plan.
- Capital, funding source and bank onboarding plan.
- Owner for accounting, tax, payroll, company-law and FEMA tasks after incorporation.
How to use this checklist
Share the completed checklist with your Indian incorporation adviser before the filing work starts. The adviser can then confirm which items apply, identify missing documents and provide a scope and timeline based on the actual structure. Requirements may differ by company, investor, sector and current regulatory practice.
