Foreign Directors in an Indian Company: DIN, DSC and Document Requirements
Prepared by AU Corporate's CA-led advisory team · Published 14 October 2026 · General information; confirm current MCA and identity-verification requirements.
A foreign national can generally serve as a director of an Indian company. The practical work is preparing the director's identity documents, obtaining the required identification and digital-signing credentials, and coordinating the documents with the incorporation or appointment filing. The process depends on the director's country of residence and the current Ministry of Corporate Affairs (MCA) instructions.
Quick answer
What does a foreign director need for an Indian company?
Plan for a Director Identification Number (DIN), an appropriate digital signature certificate where electronic signing is required, identity and address evidence, and properly authenticated documents as required for the director's circumstances. Also confirm that the company will meet the resident-director requirement; appointing a foreign director does not by itself satisfy that requirement.
1. Confirm the proposed director role
Before collecting documents, confirm whether the person will be an initial director at incorporation or will be appointed to an existing company later. The forms, supporting resolutions and filing sequence differ. Check the proposed person's eligibility, consent, disclosures and the company's intended board composition.
A foreign director and a resident director are not mutually exclusive categories. The law generally requires every company to have at least one director who has stayed in India for the prescribed period during the financial year. The exact statutory test should be checked for the relevant year. See our separate resident-director requirement guide.
2. Prepare identity and address evidence
Commonly requested documents may include a valid passport, proof of residential address and contact details. The exact list and acceptable formats depend on the relevant MCA form, certifying provider and the person's jurisdiction. Names, dates and addresses should be consistent across all documents and application fields.
- Check passport validity and ensure the name matches the intended filing.
- Use recent address evidence in an accepted format and language.
- Arrange translations if a document is not in an accepted language.
- Check whether notarisation, apostille or consular authentication is required for the specific document and country.
- Do not assume that one authentication method works for every country or document.
Our US document apostille guide explains the planning questions for US-issued documents. Other countries may have different authentication routes.
3. Arrange the Director Identification Number
A DIN identifies an individual appointed as a director. It may be applied for through the incorporation process or through the applicable MCA process for a later appointment, depending on the facts and current rules. The applicant should use the current forms and follow the instructions for identity evidence and verification rather than relying on an old checklist.
Confirm the DIN status before the appointment filing is submitted. Avoid creating inconsistent personal details across the DIN application, digital signature, incorporation forms and company records.
4. Arrange a digital signature certificate
Electronic MCA filings may need a digital signature certificate (DSC) from the relevant individual. Certifying providers can have their own identity verification and documentation steps. Ask the provider which certificate type is appropriate, how the foreign applicant must complete verification, and whether any in-person or video-based process applies.
Keep the certificate and its credentials secure. Do not share private keys or treat a director's digital signature as a general-purpose company login. The director should understand which documents they are signing and approve the filing content.
5. Coordinate incorporation or appointment filing
For a new subsidiary, the director's documents form only one part of the filing pack. The parent-company subscriber documents, proposed company name, registered-office arrangements, capital structure, constitutional documents and declarations must also align. For an existing company, check board/shareholder approvals and the applicable appointment forms.
Use the current MCA portal and professional review for filing requirements. Start from the Ministry of Corporate Affairs website; form fields and process instructions can change.

Frequently asked questions
Can a foreign national be a director of an Indian private limited company?
A foreign national may generally be appointed as a director, subject to applicable legal requirements, identity verification and the company having the required director composition, including at least one director who satisfies the resident-director rule.
Does a foreign director need a DIN?
A Director Identification Number is generally required for appointment as a director, subject to the applicable statutory process and exceptions. The DIN process and required documents should be checked against current MCA instructions.
Does a foreign director need an Indian digital signature certificate?
Where the director must digitally sign electronic MCA filings, an appropriate digital signature certificate is typically required. The issuing process, identity checks and document requirements should be confirmed with the authorised certifying provider.
Does every foreign director need to travel to India for incorporation?
Not necessarily. Parts of the process may be completed remotely, but authentication, notarisation, apostille or consular requirements and identity verification depend on the person, country and current filing instructions.
