Company Registration in Hong Kong
Company registration in Hong Kong is a common next step for clients already working with us on India market entry, thanks to its fast, low-friction incorporation process. AU Corporate's own team is licensed for India; for Hong Kong, we coordinate registration through a network of trusted local partner firms, so you get one relationship managing the process rather than sourcing a separate advisor yourself.
Why register a company in Hong Kong
Hong Kong combines a common-law legal system, a fully convertible currency, and a territorial tax regime that keeps compliance genuinely simple compared with many other jurisdictions in the region — a strong fit for holding companies, trading entities and regional headquarters serving Greater China and Southeast Asia.
No minimum capital, full foreign ownership
A Hong Kong private limited company can be incorporated with as little as HK$1 in share capital, and 100% foreign ownership is fully permitted for most business activities — there is no requirement for a local director or shareholder. At minimum you need one director, one shareholder (the same person can hold both roles), a company secretary, a registered office address in Hong Kong, and a compliant company name.
Hong Kong's territorial tax system
Only profits that arise in or are derived from Hong Kong are subject to profits tax — foreign-sourced profits generally are not, subject to the specific facts of your business. Under the two-tier profits tax structure, the first HK$2 million of assessable profits is taxed at 8.25%, with the remainder at 16.5%. There is no VAT or sales tax, no capital gains tax, and no withholding tax on dividends, which is a genuine, ongoing compliance simplification rather than a one-off incorporation perk.
AU Corporate’s role in your Hong Kong registration
We are not a Hong Kong law firm, and we do not represent otherwise. What we provide is coordination: scoping your Hong Kong entry alongside your India plans (where relevant), introducing you to a vetted local partner firm for the actual Companies Registry filing, and staying involved as your single point of contact so you are not managing two unconnected advisory relationships in two markets.
Company registration process in Hong Kong, step by step
Once your structure is decided, incorporation typically follows this sequence:
- Choose and clear your company name with the Companies Registry.
- Prepare the incorporation form, articles of association and director/shareholder documents.
- File the application with the Companies Registry, alongside your Business Registration Certificate application to the Inland Revenue Department.
- Receive your Certificate of Incorporation, typically within about 5 working days.
- Open a corporate bank account and complete any sector-specific licensing.
